1. Acceptance of Terms

By accessing or using the services, website, or programs of the Small Business Association of Riviera Beach (“SBARB,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. About SBARB

SBARB is a 501(c)(6) non-profit trade association organized under Florida law. Our mission is to support and advocate for small businesses in the Riviera Beach community through networking, education, advocacy, and resources.

3. Membership

3.1 Eligibility

Membership is open to small business owners, entrepreneurs, and business professionals who support our mission and meet our membership criteria.

3.2 Membership Application

All applications are subject to approval by SBARB’s board or designated representatives. We reserve the right to deny membership applications at our discretion.

3.3 Membership Dues

  • Membership dues are established by the board and are non-refundable unless otherwise specified
  • Dues must be paid in full to maintain active membership status
  • Failure to pay dues may result in suspension or termination of membership privileges

3.4 Member Responsibilities

Members agree to:

  • Conduct themselves professionally and ethically
  • Support the mission and values of SBARB
  • Comply with all organizational policies and bylaws
  • Respect other members and staff
  • Not engage in activities that harm the organization’s reputation

3.5 Termination of Membership

We reserve the right to suspend or terminate membership for:

  • Non-payment of dues
  • Violation of these Terms and Conditions
  • Conduct detrimental to the organization
  • Violation of organizational bylaws or policies

4. Website Use

4.1 Acceptable Use

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Harass, abuse, or harm others
  • Collect information about other users without consent
  • Use our services for spam or unsolicited communications

4.2 Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of SBARB or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without written permission.

4.3 User-Generated Content

If you submit content to our website or platforms (comments, forum posts, testimonials, etc.):

  • You grant SBARB a non-exclusive, royalty-free license to use, reproduce, and distribute your content
  • You represent that you own or have rights to the content submitted
  • We reserve the right to remove any content at our discretion

5. Events and Programs

5.1 Registration

Event registration may require advance payment. Registration fees are generally non-refundable unless an event is canceled by SBARB.

5.2 Cancellation Policy

  • SBARB reserves the right to cancel or reschedule events
  • If we cancel an event, registered participants will receive a refund or credit
  • Participants who cancel may be subject to cancellation fees as specified in event materials

5.3 Conduct at Events

Attendees must conduct themselves professionally. Disruptive, harassing, or inappropriate behavior may result in removal from the event without refund and potential membership termination. 

6. Donations

SBARB is a 501(c)(6) organization. Contributions to 501(c)(6) organizations are generally not tax-deductible as charitable donations. Donors should consult with a tax professional regarding the deductibility of any contributions.

All donations are voluntary and non-refundable unless otherwise required by law.

7. Disclaimers

7.1 No Warranties

Our services and website are provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Business Advice

SBARB provides general information, education, and resources but does not provide legal, financial, or professional advice. You should consult with qualified professionals for specific business decisions.

7.3 Member Directory and Referrals

SBARB does not endorse, guarantee, or assume responsibility for the products, services, or business practices of our members. Any business relationships formed through SBARB are at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, SBARB, its directors, officers, employees, volunteers, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

  • Use of or inability to use our services
  • Unauthorized access to or alteration of your data
  • Any conduct or content of third parties
  • Any content obtained from our services

Our total liability shall not exceed the amount you paid to SBARB in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless SBARB, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your conduct in connection with SBARB activities

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by the laws of the State of Florida without regard to conflict of law principles.

10.2 Jurisdiction

Any disputes arising from these Terms shall be resolved in the courts of Palm Beach County, Florida.

10.3 Informal Resolution

Before filing any legal action, parties agree to attempt to resolve disputes informally by contacting SBARB at info@sbaofrb.org.

11. Amendments

SBARB reserves the right to modify these Terms at any time. We will notify members of significant changes via email or website posting. Continued use of our services after changes constitutes acceptance of the revised Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other policies posted on our website, constitute the entire agreement between you and SBARB regarding use of our services.

14. Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and SBARB’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
